General Terms and Conditions of AX-7 SFX
I. General Provisions
The following conditions apply to all deliveries and services provided by AX-7 SFX. These conditions apply exclusively. Any differing terms provided by the client shall have no validity unless explicitly agreed upon in writing.
II. Contract Content
Offers made by AX-7 SFX are non-binding.
Details contained in brochures, catalogs, circulars, advertisements, price lists, and drawings/images are non-binding. The scope of deliveries and services is defined by the written order confirmation from AX-7 SFX. If such confirmation does not exist, the offer shall be decisive. Verbal agreements must be confirmed in writing by AX-7 SFX. AX-7 SFX retains all ownership and copyright rights to cost estimates, drawings, designs, development plans, and other documents. These may not be made accessible to third parties without written permission.
III. Delivery and Performance Deadlines
Dates and deadlines are only binding if explicitly designated as such by AX-7 SFX. Deadlines are extended if the client fails to provide necessary documents, approvals, or payment on time. Delays due to force majeure or other circumstances not attributable to AX-7 SFX shall not constitute breach of contract. The deadline is met when installation begins, or goods are handed over to the transporter. Partial deliveries or services are allowed. Liability for delay-related damages is limited per Section X.
IV. Transfer of Risk and Acceptance
Risk passes to the client upon acceptance. If shipment is agreed, risk passes upon handover to the transporter. The client defaults on acceptance if they refuse acceptance, fail to collect goods within two weeks of readiness, or fail to pay upon handover.
V. Transport Insurance
Insurance is available upon request at the client's expense and must be agreed separately. Any shipment of materials will be arranged through appropriate transporters. Risk transfers to the client upon handover to the shipping provider.
VI. Client Obligations
The client must insure goods under retention of title against fire and theft and provide proof upon request. Insurance claims related to such goods are considered assigned to AX-7 SFX.
The client is responsible for the accuracy of technical information and documents provided. Materials provided must be in usable and safe condition, compliant with DIN, VDE, BGV-C1, and other safety regulations.
VII. Prices and Payment Terms
Prices listed in the written confirmation apply; if none, the offer prices apply. Prices exclude VAT. Unless otherwise agreed, prices are based on freelance service rates and may include preparation, setup, and execution time. Payment is due upon invoicing and must be received within 14 calendar days without deduction. Late payments may incur interest of 10% annually or the statutory default rate. AX-7 SFX reserves the right to request advance payment for new clients or large-scale productions.
VIII. Cancellation / Rescheduling
If a client cancels a confirmed booking, the following cancellation fees apply:
AX-7 SFX reserves the right to waive or reduce these fees in exceptional cases.
IX. Retention of Title
AX-7 SFX retains ownership of any physical materials or equipment delivered until full payment is received. Clients may not resell or pledge such materials. If seizure or third-party access occurs, the client must inform AX-7 SFX immediately.
X. Warranty
AX-7 SFX warrants repair or replacement for defects due to material or workmanship within two years from acceptance. Notifications of defects must be made in writing without delay. Repairs or replacements do not extend the warranty period. The client bears transport, removal, and installation costs. Warranty is void if unauthorized changes are made or defects arise from misuse, poor maintenance, or natural wear.
XI. Liability
AX-7 SFX is only liable for intent and gross negligence. For minor negligence in essential obligations, liability is limited to the business liability insurance amount. Liability for lost profits, third-party claims, or indirect damages is excluded.
XII. Jurisdiction and Applicable Law
Luxembourg law applies. Jurisdiction is the competent court of Luxembourg City, unless AX-7 SFX chooses the client’s court.
XIII. Additional Provisions for Technical Services
Where services are billed by quantity or time, AX-7 SFX provides a performance report. Objections must be raised within 7 working days. The client must provide schedules, documentation (plans, drawings, seating, escape routes, etc.) at least 72 hours prior. Client must monitor labor laws for their personnel. If AX-7 SFX oversees compliance, additional fees apply. Hazards at the venue must be disclosed in advance.
XIV. Additional Provisions for Installation
The client must provide at their expense: groundwork, tools, scaffolding, energy, storage space, and protection measures. Prior to installation, the client must disclose hidden utilities and ensure all preparations are complete. Delays not caused by AX-7 SFX will be charged to the client.
XV. Additional Provisions for Special Effects and Fireworks
AX-7 SFX uses pyrotechnic effects in accordance with applicable Luxembourg laws and safety regulations. AX-7 SFX does not sell pyrotechnic materials to third parties. The execution of pyrotechnic effects is carried out under professional safety standards and, where applicable, with coordination from relevant authorities.
The client is responsible for obtaining all necessary permissions from event venues or local authorities unless otherwise agreed in writing. AX-7 SFX may support this process but assumes no liability if permits are denied due to local restrictions or client-related delays.
In the case of outdoor or indoor fireworks or flame effects, the setup area must be secured and comply with temperature, humidity, and ventilation requirements. From setup to execution, a strict no-smoking policy applies, which the client is responsible for enforcing. Changes to the designated effect area must be approved by AX-7 SFX.
If an event is canceled by the client or cannot proceed due to weather, safety concerns, or missing permits, AX-7 SFX reserves the right to invoice for costs incurred and up to 100% of the agreed service fee, minus any unspent expenses.
The decision to proceed in marginal weather conditions lies solely with the responsible SFX technician.
Any commercial recording or broadcast of the special effects provided by AX-7 SFX requires prior written permission.
